Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) govern all services provided by Tulla, Tulla Media Corporation, and related entities (“we,” “us,” or “our”) to any client, customer, or user (“you” or “client”).
By accessing our website, requesting services, making payments, or continuing an existing business relationship with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.
These Terms apply on a going-forward basis to all ongoing and future services, regardless of when any prior agreement (written, verbal, or otherwise) was initiated.
2. Scope of Services
Services may include, but are not limited to, web hosting, website development, content management systems (CMS), databases, email services, server administration, consulting, and related digital services, strictly as negotiated with each client.
Anything not expressly included in the agreed scope shall be considered additional and subject to separate quotation and approval.
3. Hosting Resources and Usage Limits
Hosting services include server space, websites, CMS platforms, databases, email services, and bandwidth only as expressly agreed.
If usage exceeds negotiated limits or requires additional resources, we reserve the right to apply additional charges, limit usage, or require a service adjustment.
4. Backups and Data Responsibility
Automated backups are typically performed periodically (generally monthly), and manual backups may be performed at our discretion, usually quarterly. These backups are included as part of the service as negotiated.
Backups are provided on a best-effort basis and are not guaranteed. External factors beyond our control—including but not limited to software failures, hardware issues, cyber incidents, or third-party actions—may affect data integrity.
Clients are encouraged to maintain independent backups. We are not an insurer of data.
5. Email Services and Third-Party Providers
If a client requests that email services be handled by a third-party provider (such as Microsoft 365 or Google Workspace), any configuration, migration, or coordination required will be custom-quoted and billed separately.
Likewise, if a client hosts their website externally but requests email services from us, any migration or setup work will be custom-quoted. Monthly service fees remain unchanged unless otherwise agreed.
6. Software Versions, Updates, and Legacy Systems
Our infrastructure primarily operates on UNIX/Linux-based systems using technologies such as PHP, MySQL, and WordPress.
New accounts include up to two (2) years of compatibility-related upgrades to commonly used software components when required to maintain operational compatibility.
After this period—or for websites migrated from third-party servers—any updates, upgrades, or code modifications required to maintain compatibility, security, or functionality will be custom-quoted and billed separately.
If a client elects not to update outdated or unsupported software, systems may be maintained as legacy configurationsonly for as long as server environments permit. We are not responsible for failures, incompatibilities, security vulnerabilities, or service interruptions arising from outdated or unsupported software.
7. Code Impact and Estimates
Software updates, migrations, or platform changes may require code modifications that could alter website behavior or functionality.
Where applicable, we will provide a good-faith estimate of the hours required. Estimates are not guarantees and may reasonably vary based on complexity and unforeseen technical factors.
8. Additional Services
Any services not expressly included—such as analytics reports, audits, performance optimization, consulting, training, documentation, or special requests—will be custom-quoted and performed only upon client approval.
9. Migrations and Offboarding
Migration of websites, databases, email data, backups, and related assets away from our systems starts at $1,500 USD, depending on complexity.
All deliverables are provided as-is. We do not provide instructions, consulting, training, or coordination with third-party providers unless expressly requested and paid for in advance.
10. Payments, Fees, and Outstanding Balances
All fees must be paid according to agreed terms. We reserve the right to suspend or terminate services for non-payment.
All outstanding balances must be paid in full before any cancellation, migration, or transfer of services is completed.
11. Term, Cancellation, and Notice
All cancellations or formal notices must be submitted in writing via certified mail to:

Notice must be received at least three (3) months prior to the desired cancellation date.
Failure to provide timely written notice shall result in continued financial responsibility, regardless of whether the original agreement term has been fulfilled.
Accordingly, cancellation becomes effective only after the client has satisfied the greater of:
- Any remaining months under the originally agreed service term, or
- Six (6) months of the applicable monthly service fees,
plus any outstanding balances.
Services will continue, and monthly fees will remain due, until the applicable obligation above has been fully satisfied. All outstanding balances must be paid in full before any cancellation, migration, transfer of services, or release of data is completed.
12. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, revenue, profits, or business interruption.
13. Modifications to These Terms
We reserve the right to modify these Terms of Service at any time. Updated versions will be published on our website and will govern all ongoing and future services.
Continued use of our services after publication constitutes acceptance of the updated Terms.
