Terms of Service (TOS) for Hosting and Related Digital Services

1. Scope of Services
Hosting services, as negotiated with each Client, may include:
– Storage space for websites, CMS platforms, databases, email, and other agreed-upon components
– Bandwidth allocation as agreed
– Regular system maintenance and basic updates
Note: Any additional space, bandwidth, or features beyond the negotiated terms will incur extra fees.
2. Backups & Data Responsibility
Our systems perform automated monthly backups of server contents. In addition, we may conductmanual quarterly backups as part of our ongoing support.
However:
– Backups are a courtesy feature and not guaranteed.
– We do not assume responsibility for loss due to backup failure or external factors.
– If you require more frequent or on-demand backups, we will provide a custom quote for that service.
We take all reasonable measures to protect client data, but ultimate responsibility for data retention lies with the Client.
3. Email Hosting & Hybrid Setups
If you choose to use a third-party email provider (e.g., Microsoft 365 or Google Workspace), we can assist in configuring your DNS and routing to ensure compatibility with our hosted web, CMS, or database services.
This includes:
– Email re-routing support
– DNS and MX record adjustments
– Website continuity support during transitions
This requires a custom-quoted support fee for time and technical configuration.
Conversely, if you host your website externally but request our email services, the monthly hosting fee remains as negotiated, with migration efforts quoted separately.
4. Software Upgrades & Compatibility
New hosting accounts include two (2) years of automatic upgrades to core server-side technologies,
such as:
– WordPress (or similar CMS platforms)
– MySQL
– PHP
This ensures security, compatibility, and performance.
After this 2-year period (or immediately, for migrated sites), updates may require manual code
adjustments due to changes in platform architecture.
If:
– An upgrade breaks your existing website,
– Or outdated code/templates/themes must be refactored,
we will offer you a custom quote to resolve the issue. This is because new versions may no longer support older functions (deprecated code), and your specific site may need development work.
5. Legacy Code Policy
If your site is running on outdated technologies (e.g., legacy PHP or MySQL versions), we may offer to continue supporting them as long as the server permits. However:
– We do not guarantee indefinite support of legacy platforms.
– Once a technology is deprecated or discontinued, support may no longer be possible.
– You may opt to keep the site running in legacy mode at your own risk.
If you decline to upgrade your websites codebase after the 2-year inclusive period, we will charge on a per-hour basis for any support or upgrade work.
You will receive a reasonable estimate in advance (e.g., around 5 hours, meaning no less than 3, no
more than 8 hours). Final billing will reflect actual work time.
6. Optional Services
If you require additional services such as:
– Monthly analytics reports
– SEO audits
– Custom integrations
– Enhanced security scanning
– On-call technical support
these are available and will be quoted separately based on your needs at our current ‘per-hour’ rate.
7. General Terms
– Any services outside this agreement will be custom-quoted and provided upon written approval.
– We reserve the right to modify these Terms of Service without prior notice. Changes will take effect upon publication to our website or notification via email.
– Continued use of our services constitutes acceptance of any updates.
8. Disclaimer of Liability
We are not responsible for:
– Loss or damage caused by outdated code, software conflicts, or unsupported third-party tools
– Errors caused by user modification or negligence
– Downtime due to force majeure, third-party platforms, or non-cooperation with upgrade timelines

10. File Transfer & Exit Policy
If you request your website files, databases, email archives, or any other project materials to be delivered to you or a third party (e.g., a new developer or hosting provider), this process requires time and effort to package and transfer your data securely.
As such, there will be a custom-quoted fee for handling the export, documentation, and secure transmission of your files.
This is a standard industry practice and reflects the time, coordination, and care necessary to ensure a proper handoff.
Final delivery of files will be provided once outstanding balances and the custom-quoted fee are settled.
